Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Shiftclub mobile application and related services (the "Service"), operated by SL Media Labs LLC ("Shiftclub," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to create an account or use the Service. By creating an account, you represent that you meet this requirement and that all information you provide is accurate.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at privacy@slmedialabs.com if you suspect unauthorized use of your account. You may create only one personal account, though business/Vendor profiles are permitted under Section 6 below.

3. Your Content

You retain ownership of the content you post to Shiftclub (photos, posts, comments, Garage entries, Marketplace listings, etc.). By posting content, you grant Shiftclub a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and distribute that content solely for the purpose of operating and providing the Service.

You are solely responsible for the content you post and confirm that you have the right to share it.

4. Prohibited Conduct

You agree not to:

• Violate any applicable law or regulation
• Harass, threaten, or abuse other users
• Post false, misleading, or fraudulent content, including misrepresenting a Marketplace listing
• Impersonate any person or entity
• Post content that infringes another party's intellectual property rights
• Attempt to circumvent our content moderation, reporting, or safety systems
• Use the Service for any commercial purpose not expressly permitted (see Section 5, Marketplace and Vendor accounts)

We may remove content, suspend, or terminate accounts that violate these Terms, at our discretion.

5. Marketplace

Shiftclub's Marketplace is a peer-to-peer classifieds feature for listing and browsing cars and parts.

• Shiftclub is not a party to any transaction. We do not process payments, provide escrow, verify listings, or guarantee the accuracy of any listing, the condition of any item, or that a seller actually owns the item listed. All transactions are completed entirely off-platform, at the sole discretion and risk of the users involved.
• No warranty of safety or outcome. While we provide general safety guidance and a reporting system, we do not guarantee the safety, legality, or successful completion of any transaction arranged through the Marketplace.
• Reporting and moderation. You can report listings or users that violate these Terms or our content policies. We may remove listings or take action against accounts at our discretion, but we are not obligated to resolve disputes between buyers and sellers.
• No listing fees currently apply to Marketplace transactions. Separate terms apply to the paid ShiftClub Vendor subscription (Section 6).

6. ShiftClub Vendor Subscription

Shiftclub offers an optional paid subscription ("ShiftClub Vendor") that provides business profile features, including removal of the free listing cap and a verification badge, as described in the app.

• Billing. Subscriptions are billed and managed through Google Play Billing or Apple's In-App Purchase system, depending on your device. Pricing, billing cycle, renewal, and cancellation are governed by the applicable app store's policies and your account settings with that store.
• Refunds. Refund requests are handled by Google or Apple in accordance with their respective policies, not directly by Shiftclub.
• No guaranteed outcome. Vendor status, badges, and feed-priority features do not guarantee sales, visibility, or any particular result — they are informational/promotional features only, and may change over time.

7. Intellectual Property

The Shiftclub name, logo, and related branding are the property of SL Media Labs LLC. Nothing in these Terms grants you any right to use our trademarks without prior written permission.

8. Third-Party Services

The Service relies on third-party infrastructure providers, including Supabase, Cloudflare, Google Play, and Apple's App Store. Your use of certain features may also be subject to those providers' own terms.

You agree to indemnify and hold harmless SL Media Labs LLC from any claims, damages, or expenses arising from your use of the Service, your content, your conduct, or any Marketplace transaction you engage in.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, with or without notice, for conduct that violates these Terms or is otherwise harmful to Shiftclub, other users, or third parties.

13. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles. If you are located outside the United States, you may have additional rights under the mandatory laws of your country that this section does not override.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the app or by other reasonable means. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
